Step 3 — Qualification Assessment

This assessment measures your starting position across six dimensions. There is no score that locks you out — the application is available to everyone who completes it. Answer based on where you actually are, not where you want to be. Your results tell you exactly what to work on first.

Most companies hide the contract until after three calls and a demo. We put it on the first page anyone sees. If you read this and it is right for you — you will know. If it is not — you will know that too. We do not want to convince anyone. We want the people who read this and say yes without hesitation. The left column is plain English. The right column is the actual legal language. Same sections, same order.

What it actually means
Who You Are
You are an independent contractor — not an employee. You set your own hours, work from wherever you want, and pay your own taxes. Prymo issues a 1099 at year end if you earn $600 or more. You are not entitled to benefits, workers compensation, or unemployment insurance.
What You Do
Your job is to close licensed business brokers and M&A advisors as Channel Partners. Once you close a CP, you also run outbound calling campaigns on their behalf — working a 1,000-contact list per month, booking appointments to their calendar. You only fulfill for CPs you personally closed.
What You Earn
5% commission on the $5,000/month Prymo marketing budget for 1–2 active CPs. 8% at 3–4 CPs. 10% at 5+ CPs. FQ3C certification adds a permanent +5% across every account simultaneously. Commission is paid monthly, 15 days after Prymo receives cleared payment from the CP.
Fulfillment Pay
You also earn $240 flat per CP per month for fulfillment — payable when you confirm you have completed the Calling Deliverable for that account. No hourly tracking. Either you fulfilled it or you did not.. Commission is calculated first. Fulfillment flat rate is separate. You can optionally scale up to a dedicated caller at $350/month flat (caller earns $300, Prymo retains $50) if you have at least 1 active CP.
30-Day Sprint Bonus
Close 1 CP in 30 days = $150 bonus. Close 3 = $400. Close 5 = $1,000. Paid at day 90 after ops confirms retention. You must complete Phase 0 orientation before the bonus can be paid. The sprint clock starts from your first CP signing date.
Recruiting Override
Bring someone else into the program and earn 5% of their monthly commission indefinitely — as long as both of you are active. Single-level only. If you recruit 3 reps each earning $1,125/month, that is $168.75/month added to your income permanently.
FQ3C Certification
Optional. You pay for it yourself. Passing adds a permanent +5% to your commission rate across every active account from the day you certify — forever, not just for the month you pass. The math is obvious. Get certified early.
Non-Compete
For 6 months after this agreement ends, you cannot use Prymo or Humanda's confidential information to solicit their clients or compete directly in the same service area. You can work in sales elsewhere — you just cannot take their clients or use their proprietary materials to do it.
Termination
Either side can walk away with 30 days written notice. Prymo can terminate immediately for cause — fraud, breach, or criminal conduct. After termination, you keep commissions already earned on cleared payments. You lose commissions on accounts that churn before clearing.
Who We Don't Want
People who need a guaranteed salary. People who quit when the first month is slow. People who do not follow the call script or the naming policy. People who contact the sponsor's clients directly without authorization. People who treat the contract as optional. If any of that describes you — this is not the right fit.
Who We Do Want
People who build. People who treat no as information. People who are willing to be patient in months 1 and 2 because they understand what month 12 looks like. People who read a contract before signing it and are still excited. If that is you — keep going.

Article II — Independent Contractor Status
"The Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of Prymo or Humanda™. The Contractor has no authority to bind Prymo or Humanda™ to any obligation, contract, or representation. Nothing in this Agreement shall be construed to create an employment relationship for any purpose, including for tax, benefits, or labor law purposes."
Article III — Scope of Services
"The Contractor's primary sales obligation is to identify, solicit, and close licensed business brokers and M&A advisors as Channel Partners in the Sponsorship Program. A successful close requires the Channel Partner to execute a Channel Partner Sponsorship Agreement with Prymo and Humanda™ and to make a first payment that clears without chargeback or reversal."
Article IV — Commission Tiers
"Tier 1 (1–2 Closed CPs): 5.00% Base Commission Rate. Tier 2 (3–4 Closed CPs): 8.00%. Tier 3 (5+ Closed CPs): 10.00%. The FQ3C Certification Bonus Commission is 5.00% added to the applicable Base Commission Rate. Commission is paid on the 15th of the month following the month of cleared CP payment receipt."
Article VI — Fulfillment Obligations
"The Contractor shall initiate calling activity for each Closed CP within the applicable calendar month. Fulfillment Flat Rate: $240.00 per Closed CP per month, payable upon confirmed completion of one Calling Deliverable. Commission calculated first; fulfillment flat rate second. No hourly tracking required. Failure to initiate fulfillment for any Closed CP for two consecutive calendar months constitutes a Fulfillment Default."
Article IV — Sprint Bonus
"30-Day Sprint Bonus: Tier 1 (1 Closed CP in 30 days): $150.00. Tier 2 (3 Closed CPs in 30 days): $400.00. Tier 3 (5 Closed CPs in 30 days): $1,000.00. Retention condition: All sprint-qualifying CPs must remain active and in good standing through day 90 from the Contractor's first CP signing date. Paid on day 90 following ops confirmation."
Article IV — Recruiting Override
"Recruiting Override Rate: 5% of recruited Contractor's monthly commission only (not hourly). Perpetual while both parties active. Single-level only. Example: 3 recruits each earning $1,125/mo = $168.75/mo override ($56.25 per recruit)."
Article VII — FQ3C Certification
"Completion of and full payment for the FQ3C Certification entitles the Contractor to the five percent (5%) FQ3C Certification Bonus Commission. The FQ3C Certification Bonus Commission is permanent and applies to all active Closed CP accounts simultaneously from the date of certification confirmation by Humanda LLC."
Article IX — Non-Compete
"During the term of this Agreement and for a period of six (6) months following its termination for any reason, the Contractor shall not use the Confidential Information of any Protected Party to, directly or indirectly, provide sales, marketing, or fulfillment services to any company whose primary business is substantially similar to the Channel Wedge™ program."
Article XI — Termination
"Either Party may terminate this Agreement without cause upon thirty (30) days' prior written notice to the other Party. Prymo may terminate immediately upon written notice for cause including material breach, fraud, criminal conduct, or willful misconduct. Post-termination commissions on cleared payments already received by Prymo are payable. Commissions on uncharged or uncleared amounts are forfeited."
Article X — Contractor Representations
"The Contractor represents and warrants that: (a) The Contractor has full authority to enter into and perform this Agreement; (b) The Contractor is in compliance with all applicable federal, state, and local laws and regulations; (c) The Contractor shall comply with all applicable tax laws and is solely responsible for all federal, state, and local taxes on compensation received."
Governing Law
"This Agreement shall be governed by the laws of the State of New Mexico. Any dispute arising under this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in New Mexico."
I have read and understood both columns. I understand this is an independent contractor agreement, I am responsible for my own taxes, and I accept the compensation structure, fulfillment obligations, non-compete terms, and termination provisions as described above.
